Terms & Conditions
Applicable to all quotations, agreements and services of AG e-Commerce B.V.

1. Definitions
In these general terms and conditions the following terms have the meanings set out below:
"AG e-Commerce": AG e-Commerce B.V., registered at Merchant 8, 4004 MC Tiel, the Netherlands, and registered with the Chamber of Commerce under number 99522942.
"Client": the natural or legal person entering into or wishing to enter into an agreement with AG e-Commerce.
"Services": all services provided by AG e-Commerce to the Client, including but not limited to warehousing, fulfillment, storage, customs clearance and related logistics services.
"Goods": all items entrusted by or on behalf of the Client to AG e-Commerce in the context of the Services.
2. Applicability
These general terms and conditions apply to all offers, quotations, agreements and services provided by AG e-Commerce.
Deviations from these terms and conditions are only valid if agreed upon in writing.
The applicability of any purchase or other conditions of the Client is explicitly rejected.
3. Quotations and Agreements
All quotations from AG e-Commerce are non-binding and valid for 30 days, unless otherwise stated.
An agreement is established when the Client accepts a quotation in writing or digitally, or when AG e-Commerce has commenced execution of the assignment.
Additions or modifications to the agreement are only valid if agreed upon in writing.
4. Rates and Payment
All stated rates are exclusive of VAT, unless expressly stated otherwise.
AG e-Commerce is entitled to index rates annually in accordance with the CBS price index or apply a market-conform indexation.
Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.
In the event of late payment, the Client is automatically in default and AG e-Commerce is entitled to charge statutory commercial interest.
5. Execution of Services
AG e-Commerce will execute the Services to the best of its knowledge and ability in accordance with the requirements of good workmanship.
AG e-Commerce is entitled to engage third parties in the execution of the Services.
The Client is responsible for the accuracy and completeness of the information and instructions provided.
AG e-Commerce is not liable for damage resulting from incorrect or incomplete information provided by the Client.
6. Storage and Warehousing
Goods are stored at our distribution centre in Tiel with due care.
AG e-Commerce ensures adequate security, climate control and fire prevention in accordance with applicable standards.
The Client is obliged to inform AG e-Commerce about the nature, properties and any risks of the Goods.
It is not permitted to store dangerous, illegal or prohibited substances without the express written consent of AG e-Commerce.
7. Liability
The liability of AG e-Commerce is limited to the amount paid out by its liability insurance in the relevant case, plus the excess.
If the insurance does not provide cover, liability is limited to the invoice value of the relevant assignment over the last three months.
AG e-Commerce is never liable for indirect damage, including consequential damage, lost profits, missed savings or damage due to business stagnation.
AG e-Commerce is not liable for damage caused by force majeure, including but not limited to natural disasters, strikes, government measures, pandemics and energy network disruptions.
8. Insurance
AG e-Commerce holds a business liability insurance and a goods insurance policy.
The Client is responsible for taking out additional insurance if the value of the stored Goods exceeds the standard coverage.
9. Intellectual Property
All intellectual property rights to systems, processes, reports and documentation developed by AG e-Commerce belong to AG e-Commerce.
The Client is not permitted to reproduce, publish or make these available to third parties without written consent.
10. Confidentiality
Both parties are obliged to maintain confidentiality of all confidential information received from each other in the context of the agreement.
This obligation continues to apply after termination of the agreement.
11. Duration and Termination
The agreement is entered into for the duration as set out in the quotation or contract.
Termination must be made in writing with a notice period of three months, unless otherwise agreed.
Upon termination of the agreement, the Client must collect the stored Goods within 30 days. After this period, AG e-Commerce is entitled to charge storage costs.
12. Complaints
Complaints about the Services provided must be submitted to AG e-Commerce in writing within 14 days of discovery.
Filing a complaint does not suspend the Client's payment obligation.
13. Applicable Law and Disputes
All agreements between AG e-Commerce and the Client are governed by Dutch law.
Disputes will initially be submitted to the competent court in the district of Gelderland, the Netherlands.
